Both Seychelles and Panama are popular offshore jurisdictions for UAE-based founders. We compare privacy protections, banking access, formation timelines, tax treaty networks, and which structure works better depending on your goals.
Why UAE founders use offshore companies
An offshore company holds assets, opens international bank accounts, and owns shares in other entities without requiring a UAE trade licence or local presence.
UAE founders commonly use offshore vehicles for four purposes: IP holding, international trading, asset protection, and intercompany structuring (creating a parent or holding layer above UAE operating entities).
Offshore entities do not replace a UAE free zone or mainland company. They complement one by sitting above or alongside the local entity in the corporate structure.

Seychelles IBC: the straightforward option
A Seychelles International Business Company (IBC) is the most common offshore vehicle used by UAE-based founders. Seychelles IBCs incorporate in 3 to 5 business days, entirely remotely.
There is no requirement for local directors, no minimum share capital, and no mandatory audit. Annual compliance is limited to a registered agent fee and annual renewal filing.
Seychelles has no corporate tax, no capital gains tax, and no withholding tax on dividends, interest, or royalties paid to non-residents. The jurisdiction is on most UAE banks' approved lists, making it one of the easiest offshore structures to bank in the Emirates.
Panama Corporation and Private Interest Foundation
Panama offers two distinct vehicles. The Panama Corporation (Sociedad Anonima or SA) is a general-purpose entity used for trading, consulting, and operational businesses. It incorporates in 5 to 10 business days and requires a minimum of three directors (nominee directors are permitted).
The Panama Private Interest Foundation is a separate legal structure designed specifically for estate planning and asset protection. A Foundation holds assets on behalf of beneficiaries and is not owned by shareholders, making it highly effective for multi-generational wealth transfer.
Panama has not signed the Common Reporting Standard (CRS), offering stronger financial privacy than Seychelles.
“Panama does not participate in the Common Reporting Standard (CRS) — financial institutions do not automatically share account information with the account holder's home country tax authority.
Banking acceptance in the UAE
UAE banks evaluate offshore entities based on the jurisdiction's reputation, the entity's purpose, and the UBO's profile.
Seychelles IBCs have strong banking acceptance because the jurisdiction has been used for decades by the regional business community. Most major UAE banks (Emirates NBD, Mashreq, ADIB, RAKBank) accept Seychelles IBCs for corporate account opening.
Panama Corporations are also accepted but may face slightly more scrutiny from compliance teams less familiar with Latin American jurisdictions. StrataLink prepares all banking documentation and coordinates introductions with the appropriate banking partner.
Need an offshore structure above your UAE entity?
StrataLink sets up Seychelles IBCs, Panama Corporations, and Panama Foundations alongside UAE company formation.
Use cases: when to choose each
Choose Seychelles IBC when:
- The primary goal is a simple holding structure above a UAE entity
- You need an international bank account for non-UAE transactions
- You want cost-effective asset protection with straightforward annual compliance
Choose Panama Corporation when:
- You need a general-purpose offshore entity with stronger privacy protections
- You want a broader tax treaty network for cross-border payment routing
- You need an established civil law framework with 80+ years of precedent
Choose Panama Foundation when:
- The primary goal is estate planning or multi-generational wealth transfer
- You want a structure that is not shareholder-owned (assets held for named beneficiaries)
- You need strong asset protection from personal liabilities
Common structuring patterns for UAE founders
The most common pattern is a Seychelles IBC or Panama SA as the parent company, with a UAE free zone entity as the operating subsidiary. The offshore parent holds shares in the UAE entity and receives dividends. International contracts and IP sit at the parent level.
A second pattern uses a Panama Foundation alongside a UAE operating company. The Foundation holds the founder's personal shares, providing estate planning and succession benefits without changing the operating structure.
StrataLink sets up both layers and coordinates between the offshore formation agent and the UAE free zone authority to ensure the corporate structure is consistent across jurisdictions.
Ongoing compliance and maintenance
Seychelles IBCs require annual renewal with the registered agent, payment of the government annual fee, and a registered office in Seychelles. There is no mandatory audit and no requirement to file financial statements.
Panama Corporations require an annual franchise tax (Tasa Unica), a registered agent in Panama, and three directors (nominee directors are permitted). Panama Foundations have similar requirements plus a Foundation Charter and Regulations document.
Neither jurisdiction requires physical presence or local employees. StrataLink handles all annual renewals, compliance filings, and registered agent coordination for clients holding Seychelles or Panama entities.
